FinCEN Exempts U.S. Companies from CTA Reporting Requirements

On March 21, 2025, the Financial Crimes Enforcement Network (FinCEN) issued an interim final rule exempting U.S.-formed companies from the Corporate Transparency Act’s (CTA) beneficial ownership information (BOI) reporting requirements. This means that trucking companies and other businesses formed in Pennsylvania or any other U.S. state no longer need to file BOI reports with FinCEN.

Key Changes & Impact on Trucking Companies

• Who Still Needs to Report? Only companies formed outside the U.S. and registered to do business in a U.S. jurisdiction must continue reporting to FinCEN. These foreign reporting companies must file their BOI reports within 30 days of the rule’s publication in the Federal Register.
• What Information Is Required? Foreign reporting companies must report their legal name, trade names, business address, foreign jurisdiction of formation, U.S. registration state, and IRS Taxpayer Identification Number (TIN).
• U.S. Persons Exempt – Reporting companies do not need to report beneficial ownership information for any U.S. persons.

Why the Change?

FinCEN’s decision follows President Trump’s Executive Order 14192, “Unleashing Prosperity Through Deregulation.” The Treasury Department reassessed the balance between the usefulness of BOI reporting and its regulatory burden. It concluded that requiring reports from U.S. companies does not significantly aid law enforcement in combating money laundering, terrorism financing, tax fraud, or other crimes.

For Pennsylvania-based businesses, this rule eliminates the requirement to report ownership and control details to FinCEN, reducing administrative burdens.

What’s Next?

• The rule takes effect immediately upon publication in the Federal Register.
• FinCEN is accepting public comments until May 27, 2025 via Regulations.gov (Docket Number FINCEN-2025-0001).
• Although legal challenges may arise, major changes to this rule are unlikely.
